This Retail Business Agreement outlines the terms and conditions under which bindrz LLC (“bindrz,” “we,” or “us”) offers its products for resale within the United States. By placing a wholesale order with bindrz, you (“the Customer,” “Retailer,” or “Reseller”) agree to the following terms.

ELIGIBILITY

Wholesale purchasing is available only to approved U.S.-based retailers and distributors engaged in the resale of trading card accessories. bindrz does not authorize wholesale orders for resale outside of the United States.

AUTHORIZED SALES CHANNELS

Approved resellers may sell bindrz® products through brick-and-mortar retail locations, their own official website (provided it is owned and operated directly by the reseller and approved by bindrz), and at in-person conventions or events. Resellers may not sell bindrz® products on online marketplaces or third-party platforms, including but not limited to Amazon, eBay, Walmart Marketplace, TikTok Shop, or Facebook Marketplace, without prior written authorization from bindrz.

ORDERING REQUIREMENTS

All wholesale purchases must be made by the master carton. The number of units per carton varies by SKU, and there is no minimum order value required. Availability of limited-edition products, such as One Piece TCG-themed binders, is at the discretion of bindrz and may be subject to allocation limits.

PAYMENT TERMS

Payment in full is required before shipment for all first orders. Subsequent orders may qualify for NET 30 payment terms based on credit review and approval. Late payments accrue a finance charge of 1.5% per month (18% per annum) or the maximum allowed by law. bindrz reserves the right to delay, suspend, or cancel orders for accounts with outstanding balances.

SHIPPING & RISK OF LOSS

All shipping costs are the responsibility of the reseller. Title and risk of loss transfer to the reseller once the shipment has been delivered to the carrier. bindrz is not responsible for transit delays, carrier damage, or lost shipments once the order leaves our facility.

INSPECTION & CLAIMS

Resellers are required to inspect all shipments immediately upon arrival and must notify bindrz in writing within fourteen (14) days of delivery regarding any defects, shortages, or discrepancies. Failure to provide written notice within this timeframe constitutes acceptance of the shipment and waiver of any claims.

RETURNS & DEFECTIVE PRODUCTS

Only defective products may be returned or replaced after review by bindrz. Non-defective, unsold, or overstocked items are not eligible for return. Resellers must obtain return authorization from bindrz prior to sending back any product.

BRANDING & REPRESENTATION

Resellers may use bindrz® product images, logos, and marketing materials provided by bindrz without alteration, as long as they have accepted this Retail Business Agreement during the wholesale application process. Any modification, rebranding, or repackaging of bindrz® products or creative assets is not permitted. Resellers must represent the bindrz® brand accurately and consistently in all marketing and promotional efforts.

PRICE CONFIDENTIALITY

All wholesale pricing, discounts, and terms provided by bindrz are considered confidential and proprietary information. Resellers are prohibited from sharing, publishing, or disclosing wholesale pricing or related terms to any third party, including other retailers, distributors, or the general public. Retailers must advertise bindrz® products at or above the suggested retail price (SRP) unless otherwise approved in writing by bindrz. Any disclosure of confidential pricing or unauthorized discounting below SRP may result in suspension or termination of wholesale privileges.

NO EXCLUSIVITY

bindrz does not grant exclusive territories or channels. We reserve the right to sell directly to customers or other resellers at any time.

FORCE MAJEURE

bindrz shall not be held liable for any delay, failure to perform, or loss arising from circumstances beyond its reasonable control. Such circumstances include but are not limited to acts of God, natural disasters, war, terrorism, labor disputes, civil disturbances, government actions, pandemics, epidemics, transportation disruptions, power failures, or supplier shortages. In such cases, bindrz’s obligations will be suspended for the duration of the event, and the company will make reasonable efforts to resume fulfillment as soon as possible.

POLICY UPDATES

bindrz reserves the right to modify this Retail Business Agreement at any time without prior notice. The most current version of this agreement will always be available on bindrz.com and will supersede all previous versions.
